Acceptance of Terms

By accessing or using Onpilot AI's website, platform, APIs, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Services.

Account Terms

  • You must be at least 18 years old to create an account and use the Services.
  • You must provide accurate and complete information during registration and keep your account details up to date.
  • You are responsible for maintaining the security of your account credentials. Onpilot AI is not liable for any loss or damage arising from unauthorized access to your account.
  • You must not share your account credentials or allow others to access your account.
  • One person or entity may not maintain more than one account without prior written approval.

Use of Services

Onpilot AI provides an AI agent platform that enables businesses to build, deploy, and manage intelligent assistants embedded in their products and workflows. Our Services include:

  • The Onpilot dashboard for agent configuration and management.
  • APIs for embedding agents into your applications.
  • Chat interfaces for end-user interactions with agents.
  • Analytics and usage reporting tools.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

API Usage

Access to our APIs is governed by these Terms and any additional API documentation we provide. You agree to:

  • Use API keys and tokens only for their intended purpose and keep them confidential.
  • Not exceed rate limits or usage quotas associated with your plan.
  • Not reverse-engineer, decompile, or attempt to extract the source code of our APIs.
  • Not use the APIs to build a competing product or service.
  • Comply with all applicable laws when using data obtained through our APIs.

We may suspend or revoke API access if we detect abuse or violation of these Terms.

Billing & Payments

  • Paid plans are billed in advance on a monthly or annual basis, as selected during sign-up.
  • Token-based usage is tracked and billed according to your plan's pricing tier. You can purchase additional token packs as needed.
  • All fees are exclusive of taxes. You are responsible for applicable taxes in your jurisdiction.
  • Payments are processed securely through Stripe. You authorize us to charge your payment method for all fees incurred.
  • Refunds are provided at our discretion. Generally, fees for services already rendered are non-refundable.
  • If payment fails, we may suspend access to the Services until the outstanding balance is resolved.

Intellectual Property

All content, features, functionality, designs, code, and documentation of the Services are and remain the exclusive property of Onpilot AI and its licensors. This includes, but is not limited to:

  • The Onpilot platform, software, and user interfaces.
  • Our trademarks, logos, and brand assets.
  • AI models, algorithms, and training methodologies.
  • Documentation and marketing materials.

These Terms do not grant you any right, title, or interest in our intellectual property except the limited right to use the Services as described herein.

Your Content

You retain all rights to the data, content, and materials you upload or create using the Services ("Your Content"). By using the Services, you grant Onpilot AI a limited, non-exclusive license to use Your Content solely for the purpose of providing and improving the Services.

You represent and warrant that:

  • You own or have the necessary rights to Your Content.
  • Your Content does not violate any applicable law or the rights of any third party.
  • Your Content does not contain malicious code, viruses, or harmful material.

Prohibited Uses

You agree not to use the Services to:

  • Violate any applicable law, regulation, or third-party right.
  • Generate, distribute, or facilitate harmful, abusive, defamatory, or illegal content.
  • Attempt to gain unauthorized access to our systems or other users' accounts.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Scrape, crawl, or use automated means to access the Services without our written permission.
  • Resell, sublicense, or redistribute access to the Services without authorization.
  • Use the Services to develop AI models that compete with Onpilot AI.

Limitation of Liability

To the maximum extent permitted by applicable law, Onpilot AI and its officers, directors, employees, and agents shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, revenue, data, goodwill, or other intangible losses.
  • Any damages arising from your use of or inability to use the Services.
  • Any unauthorized access to or alteration of your data or transmissions.

Our total cumulative liability for all claims arising out of or related to these Terms or the Services shall not exceed the amount you paid to Onpilot AI in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Onpilot AI, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Services.
  • Your violation of these Terms.
  • Your violation of any applicable law or third-party right.
  • Your Content or its use within the Services.

Termination

Either party may terminate these Terms at any time by providing written notice.

  • By you: you may delete your account at any time through the dashboard settings. Upon deletion, your access to the Services will cease immediately.
  • By Onpilot AI: we may suspend or terminate your account if you violate these Terms, engage in prohibited conduct, or fail to pay outstanding fees. We will provide reasonable notice when possible.

Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination will survive, including intellectual property, limitation of liability, and indemnification.

Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada.

Changes to Terms

We reserve the right to update these Terms at any time. Material changes will be communicated by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
